1. Acceptance
By accessing wyocs.com or engaging Wyoming Cloud Solutions LLC ("WYOCS") for services, you agree to these Terms of Service. If you do not agree, please do not use the website or our services.
2. Services
WYOCS provides software development, cloud and infrastructure engineering, IT consulting, AI and automation, managed services, and security and compliance advisory. The specific scope, deliverables, timelines and fees of each engagement are defined in a separate Statement of Work (SOW) executed under our Master Services Agreement.
3. Fees and Payment
All pricing is in U.S. Dollars (USD) unless explicitly stated otherwise. Invoices are payable net 30 days from issue. Past-due amounts may accrue a service charge of 1.5% per month, or the maximum permitted by applicable law, whichever is lower.
4. Intellectual Property
Upon full payment of fees for a deliverable, WYOCS assigns to the Client all right, title and interest in the deliverable, subject to retained pre-existing materials, open-source components, and standard tools that remain the property of their respective owners.
5. Confidentiality
Each party agrees to protect the other's Confidential Information with the same care it uses for its own confidential materials, and at a minimum with reasonable care. Confidentiality survives termination of the engagement.
6. Acceptable Use
You agree not to use the website for unlawful purposes, to attempt to gain unauthorized access to our systems, or to abuse our contact forms. We reserve the right to block IP addresses associated with abuse.
7. Disclaimers
Our website and services are provided on an "as is" basis. To the maximum extent permitted by law, WYOCS disclaims all implied warranties, including merchantability and fitness for a particular purpose.
8. Limitation of Liability
To the maximum extent permitted by law, WYOCS's aggregate liability under any engagement is limited to the fees paid by the Client to WYOCS for the services giving rise to the claim during the twelve (12) months preceding the event.
9. Governing Law
These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict of laws principles. Any dispute is subject to the exclusive jurisdiction of the state and federal courts located in Sheridan County, Wyoming.
